1. Acceptance of Terms

By creating an account, accessing, or using AvionLogic services, you confirm that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are using our services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Services

AvionLogic provides the following services:

• AvionLogic Logistics: Aircraft on Ground (AOG) parts sourcing, supplier network intelligence, and logistics coordination
• AvionLogic Academy: Aviation training resources, certification preparation, career development tools, and recruitment services
• AvionLogic AI: Compliance intelligence, document analysis, manual interpretation assistance, and decision support tools

3. User Accounts

When you create an account, you agree to:

• Provide accurate, current, and complete information
• Maintain the security of your password and account credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access or security breach
• Not share your account credentials with third parties

4. Acceptable Use

You agree NOT to:

• Use the services for any unlawful purpose
• Violate any aviation regulations, safety standards, or industry compliance requirements
• Transmit malware, viruses, or harmful code
• Attempt to gain unauthorized access to our systems or other users' accounts
• Interfere with the proper functioning of the services
• Scrape, harvest, or collect data without authorization
• Impersonate others or misrepresent your affiliation with any entity
• Use AI-generated content from our platform for safety-critical decisions without proper human oversight

5. Aviation-Specific Disclaimers

• AI-generated interpretations of manuals, MELs, and procedures are for reference only
• Users must verify all information against official approved documentation
• Parts sourcing recommendations do not guarantee airworthiness certification
• Training materials supplement but do not replace regulatory-approved training programs
• All safety-critical decisions remain the responsibility of qualified personnel

6. Intellectual Property

All content, trademarks, logos, and intellectual property on the AvionLogic platform are owned by AvionLogic Global Intelligence Inc. or our licensors. You may not reproduce, distribute, modify, or create derivative works without our express written consent. Your use of our services does not grant you any ownership rights to our intellectual property.

7. User Content

You retain ownership of content you submit to our platform. By submitting content, you grant AvionLogic a worldwide, non-exclusive, royalty-free license to use, process, and store such content for the purpose of providing and improving our services. You represent that you have the rights to submit such content and that it does not violate any third-party rights or applicable laws.

8. Payment and Subscriptions

• Paid services are billed in advance on a subscription basis
• Prices are subject to change with 30 days notice
• Refunds are provided in accordance with our refund policy
• Failure to pay may result in service suspension or termination
• You are responsible for any applicable taxes

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AVIONLOGIC SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, data, business opportunities, or goodwill
• Damages resulting from reliance on AI-generated content or recommendations
• Service interruptions, errors, or delays
• Third-party conduct or content

Our total liability shall not exceed the greater of (a) the amount you paid us in the 12 months preceding the claim, or (b) $100 CAD.

10. Indemnification

You agree to indemnify and hold harmless AvionLogic, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the services, violation of these Terms, or infringement of any third-party rights.

11. Termination

We may suspend or terminate your access to our services at any time for violation of these Terms or for any other reason at our discretion. Upon termination, your right to use the services ceases immediately. You may terminate your account at any time by contacting us.

12. Governing Law

These Terms are governed by the laws of the Province of Ontario, Canada, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Ontario, Canada. You consent to the exclusive jurisdiction of such courts.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through our platform. Your continued use of the services after such changes constitutes acceptance of the updated Terms.
